Terms of Service

Effective date: 2026-05-07 Version: 0.1 (pre-lawyer-review draft)

Pending legal review. This document was drafted in good faith from standard SaaS templates and Homaic's constitutional commitments (homaic-charter v1.2 + homaic-foundation-standards v1.1). It will be reviewed by counsel before Homaic's public launch. Until that review lands, treat these terms as Homaic's stated intent, not a finished legal instrument.


1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of Homaic (the "Service"), operated by Homaic, Inc. ("Homaic," "we," "us"). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

A history of material changes to these Terms is published in §12.


2. Description of the Service

Homaic is a homeowner documentation and AI-assisted management platform. You use Homaic to capture data about your home (assets, projects, contractors, documents, decisions, history), surface what needs attention, and engage the outside world about your home (contractors, insurers, real estate professionals, family members) on your terms.

What Homaic is not: Homaic is not a contractor marketplace. We do not route you to contractors, accept commissions or referral fees from contractors, or earn revenue from any third party for connecting you with them. Contractors interact with Homaic through the share-token flow (responding to briefs, submitting quotes, providing references), not as paying users of the Service. This is constitutional, per homaic-charter §5.1 R10.

What Homaic is not: Homaic is not a smart home hub, a financial or tax tool, a real estate transaction platform, or a community forum. See homaic-charter §§5.2–5.6 for the full enumeration.

The Service is offered in three deployment tiers:

  • Self-hosted (free) under the GNU Affero General Public License v3 ("AGPL"). You run the Service on your own infrastructure with your own credentials. These Terms do not govern your self-hosted deployment beyond the AGPL license itself.
  • Homaic-hosted (free tier) with usage limits.
  • Homaic-hosted (Pro tier) at the price stated in §5.

These Terms govern only the Homaic-hosted tiers. Your rights under the AGPL are described in §9.


3. Accounts

3.1 Account creation

You create an account by completing the magic-link signup flow. You must provide a valid email address that you control. You are responsible for keeping access to that email address; loss of email access is the most common path to account loss.

3.2 Account security

You are responsible for maintaining the security of your account, including any sessions, API keys, and OAuth tokens issued to you. You must notify Homaic at security@homaic.io as soon as you become aware of any unauthorized access.

3.3 One account per user

The free tier and Pro tier are personal accounts. One human, one account. Family or household sharing is a separate feature, subject to separate terms when it ships.

3.4 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater, to create an account. Homaic is not directed at children, and the Service does not knowingly collect data about children except where you, the homeowner, choose to record it about your own household members.

3.5 Termination by you

You may terminate your account at any time from the Settings page or by emailing support@homaic.io. Account termination triggers the data deletion path described in §8.

3.6 Termination by Homaic

Homaic may suspend or terminate your account if you materially violate these Terms, the Acceptable Use Policy, or applicable law. Where the violation is correctable, Homaic will give you a reasonable opportunity to correct it before terminating, except in cases of egregious abuse (illegal content, security threats, fraud).


4. Acceptable Use

Your use of the Service is also governed by Homaic's Acceptable Use Policy, available at /aup. Violations of the Acceptable Use Policy are violations of these Terms.


5. Payment Terms (Pro tier)

5.1 Pro tier

The Pro tier is offered at $19 per month or, if you choose annual billing, $190 per year (equivalent to two months free). Pro tier features and quotas are described in the Pricing page on homaic.io.

The free tier is offered at no cost, with the usage limits stated on the Pricing page.

5.2 Payment processor

Payments are processed by Stripe, Inc. ("Stripe"). You will provide payment details to Stripe, not to Homaic. Homaic does not store payment card numbers. Stripe's terms apply to your use of Stripe's payment services.

5.3 Renewal

Pro tier subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from the Settings page. Cancellation takes effect at the end of the then-current billing period; you continue to have Pro tier access until that date.

5.4 Refunds

  • Monthly billing: Pro tier monthly subscriptions are non-refundable. If you cancel, you continue to have Pro tier access through the end of the current billing month, then revert to the free tier.
  • Annual billing: Pro tier annual subscriptions are refundable on a pro-rata basis within the first 30 days of the annual term. After 30 days, annual subscriptions are non-refundable, but you may cancel auto-renewal at any time.
  • Quotas and overages: The Pro tier includes the AI quotas stated on the Pricing page. The free tier and Pro tier each enforce their own quotas; exceeding a quota does not generate an overage charge — it returns a rate-limit response and asks you to wait or upgrade.

5.5 Taxes

Stated prices do not include sales tax, VAT, GST, or other transaction taxes, which are added at checkout where applicable. You are responsible for any taxes other than those imposed on Homaic's net income.

5.6 Price changes

Homaic may change Pro tier pricing with 30 days' written notice to you (by email and an in-product notice). If you do not accept a price change, you may cancel before the change takes effect; your subscription will continue at the old price through the end of your current billing period and then end.


6. Privacy

Homaic's collection and use of your data is governed by the Privacy Policy at /privacy. The Privacy Policy is part of these Terms by reference.

Homaic's privacy posture is structural, not policy: every table is row-level-secured to your authenticated session, every column carries data-classification metadata, and aggregation across users is gated by k-anonymity thresholds. See homaic-charter §6.1 and homaic-foundation-standards §2.


7. AI Features

The Service offers two AI consumption modes.

7.1 Mode A — built-in AI ("just-works AI")

You upload a photo, document, or natural-language query. Homaic sends the input to a third-party AI model provider (currently Anthropic, PBC) and returns a structured suggestion. You review every Mode A suggestion before it is saved to your manifest. Mode A does not act on your data without your confirmation.

Mode A AI calls are subject to the quotas stated on the Pricing page. The Pro tier raises those quotas; it does not remove them.

7.2 Mode B — bring-your-own AI (MCP)

You connect a Model Context Protocol ("MCP") client of your choosing (Claude Code, Cursor, Cline, ChatGPT, or any other MCP-aware client) to your Homaic instance via OAuth. Mode B agents act on your behalf with the scopes you grant. You are responsible for the AI client you connect, including its terms, its costs, and its actions taken under your authentication.

Homaic enforces server-side authorization on every MCP tool call. An agent cannot do something through MCP that you cannot do through the dashboard.

7.3 No training on your data

Homaic does not train AI models on your data, and Homaic does not allow third-party AI providers to train their models on your data, except where you have given explicit, separate, opt-in consent for a specific purpose. The default for any opt-in of this kind is OFF. See Privacy Policy §2.

7.4 AI suggestions are suggestions

AI outputs from the Service are suggestions to help you manage your home. They are not professional advice. Specifically, AI outputs are not a substitute for:

  • a licensed home inspector
  • a licensed contractor (for code, permitting, or structural questions)
  • a licensed attorney
  • a licensed financial, tax, or insurance professional
  • a licensed medical professional

You are responsible for the decisions you make using the Service, whether or not those decisions were informed by an AI suggestion.


8. Data and Privacy

8.1 Your data is your data

You retain all rights to the data you put into the Service ("Your Content"). Homaic does not claim ownership of Your Content.

You grant Homaic a limited, non-exclusive license to host, store, transmit, display, and process Your Content solely to operate the Service for you (including running Mode A AI extractions when you initiate them, generating briefs from your data, and serving share-token flows you create). This license ends when you delete Your Content or terminate your account.

8.2 Export

You can export the full set of Your Content at any time from the Settings page. Exports are produced in standard, machine-readable formats. No exit fee, no rate gate, no upsell.

8.3 Account deletion

When you delete your account, Homaic purges Your Content within 30 days. After purge:

  • Your Content is removed from primary storage.
  • Backup copies are aged out on the standard backup retention schedule (no longer than 90 days).
  • A minimal audit-log entry recording the deletion event is retained for 90 days for security and legal-compliance purposes, then deleted.

8.4 Self-hosting as a portability path

If at any point you want to leave the Homaic-hosted tiers, you may export Your Content (§8.2), spin up a self-hosted Homaic instance under the AGPL, and import your export. The AGPL license guarantees you the right to do this. Homaic-hosted is convenience; self-hosted is sovereignty. You choose.


9. Intellectual Property

9.1 Homaic platform — AGPL v3

The Homaic software platform is licensed under the GNU Affero General Public License v3.0. The full license text is available in the source repository. Under the AGPL, you may run, study, modify, and redistribute the software, subject to the AGPL's source-disclosure requirements when you make a modified version available to others over a network.

9.2 Your Content

You retain all intellectual property rights in Your Content, as stated in §8.1.

9.3 Homaic brand

The names "Homaic," the Homaic wordmark, the Homaic logo, and associated trade dress are trademarks of Homaic, Inc. The AGPL license on the software does not include a trademark license. You may not use the Homaic brand to identify a modified version of the software or a competing service in a way that is likely to cause confusion.

9.4 Feedback

If you submit feedback, suggestions, or feature requests to Homaic, you grant Homaic a perpetual, royalty-free, non-exclusive license to use that feedback to improve the Service. We do not pay for feedback, and we do not treat feedback as confidential unless you have a separate confidentiality agreement with us.


10. Disclaimers and Limitation of Liability

10.1 Service provided "as is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Homaic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

Homaic does not warrant that:

  • the Service will be uninterrupted or error-free;
  • AI outputs will be accurate, complete, or appropriate for any particular use;
  • any defect will be corrected on any particular timeline.

10.2 No professional advice

As stated in §7.4, AI outputs and Service content are not professional advice. Homaic is not liable for decisions you make in reliance on AI outputs or Service content.

10.3 Limitation of liability

To the maximum extent permitted by applicable law, Homaic's total aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) the fees you paid Homaic in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Homaic is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if Homaic has been advised of the possibility of such damages.

10.4 Jurisdictional carve-outs

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent the disclaimers and limitations in this section are unenforceable in your jurisdiction, they apply to the maximum extent permitted by applicable law in that jurisdiction.


11. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or related to these Terms is the state and federal courts located in Jefferson County, Colorado, and the parties consent to personal jurisdiction in those courts.

[LAWYER REVIEW NEEDED] Class-action and arbitration provisions are intentionally not included in this draft pending counsel input.

Nothing in this section limits any non-waivable rights you have under the consumer-protection laws of your jurisdiction.


12. Changes to These Terms

Homaic may update these Terms from time to time. For material changes, Homaic will give you at least 30 days' notice by email and in-product notice before the change takes effect. Continued use of the Service after the effective date of a material change constitutes acceptance.

Non-material changes (typo fixes, clarifications that do not change substantive rights or obligations) take effect when published. The version history of these Terms is maintained at /terms and in the source repository.

If you do not accept a material change, your remedy is to terminate your account before the change takes effect (§3.5). No early-cancellation fee applies in that case.
